Customer Terms and Conditions

Effective as of June 2025.
By proceeding, the Client agrees to the following general terms for hiring Rooftop's services. These terms are complemented by the Commercial Framework Agreement signed subsequently.

1. Introduction

These Terms and Conditions (“T&C”) govern access to and use of Rooftop’s website (the “Site”), including all software, data, reports, text, images, sounds, videos, and content available through any part of the Site, as well as the services provided by Rooftop in its staff augmentation (staffing) and direct hire (DH) modalities.
By accessing the Site and/or hiring our services, the Client fully accepts these Terms and Conditions.

2. Acceptance of the Terms

Rooftop grants the Client (“User”) access to and use of the Site and its content, subject to these Terms and Conditions (T&C). By accessing or using any part of the Site, the User acknowledges that they have read, understood, and agreed to be bound by these T&C.
If the User accepts these T&C on behalf of a company or other legal entity (“User Entity”), they represent and warrant that they have the legal authority to bind such entity. In that case, the terms “User” or “Client” will refer to the User Entity.
Such representation shall be deemed valid, and Rooftop shall not be held liable for any lack of authorization, unless notified expressly in writing prior to the use of the services.

3. Use of the Site

Purpose: The Site is intended to provide information about Rooftop’s services and available talent.Access: Rooftop may modify, suspend, or discontinue the Site without prior notice.Intellectual Property: All Site content is owned by Rooftop or is licensed for use. Use without prior written authorization is prohibited.

4. Data Protection

Rooftop handles personal data in accordance with its Privacy Policy, ensuring confidentiality and security. The Client is responsible for the accuracy of the information provided and agrees that Rooftop may use such data to deliver its services, conduct business follow-up, or improve the user experience.
The Client is responsible for ensuring that all information provided to Rooftop for publishing job postings (including job descriptions, requirements, benefits, location, company name, etc.) is accurate, up-to-date, lawful, and does not infringe on third-party rights.
The Client authorizes Rooftop to use and distribute such information on its website, social media, job platforms, and other digital communication channels, solely for the purpose of promoting job openings and recruiting talent.

5. Commercial Terms

5.1 Staffing Modality

a. All-Inclusive Fee

Rooftop communicates a single monthly fee per professional, which includes salary, taxes, administrative management, support, and monitoring. This fee is defined based on the required profile and agreed upon in advance.

b. Guarantee

During the first 90 calendar days from the professional’s start date:
Rooftop will provide a prompt replacement in case of dropout.

c. Vacancy Cancellation

If the Client requests a search and later cancels the vacancy before hiring, an administrative fee of USD 200 per vacancy will apply.

d. Buyout

The Client may hire the professional onto its payroll by paying a fee, provided the professional gives their express consent. The fee is calculated based on the professional’s tenure on the project:
From month 4 to 12: 2 monthly fees
From month 13 to 24: 1 monthly fee
From month 25 onward: no fee
The Client may incorporate the professional into their own payroll starting from the fourth month of engagement. The buyout option shall not be available during the first ninety (90) calendar days from the professional’s start date.

e. Early Termination by Client

The Client may terminate a professional with 30 days’ notice. If immediate termination is desired, the Client must pay the equivalent of one (1) monthly fee.

5.2 Direct Hire (DH) Modality

a. One-Time Fee

Rooftop charges a one-time fee calculated as a percentage (%) of the professional’s agreed gross annual salary. This fee is only charged if the hiring is successfully completed and must be paid immediately upon receipt of the invoice.

b. Guarantee

During the first 90 calendar days from the professional’s start date:
Rooftop will provide a prompt replacement in case of dropout.

c. Vacancy Cancellation

If the Client requests a search and later cancels the vacancy before hiring, an administrative fee of USD 200 per vacancy will apply.

6. Intellectual Property

Rooftop and its licensors retain all rights to its brand, software, processes, images, content, and know-how. The Client may not copy, reuse, publish, or commercially exploit any component without express authorization.

7. Termination

Rooftop may suspend or cancel the Client’s access to the Site or services if fraudulent, illegal, or non-compliant use of these T&Cs is detected.
The Client may stop using the services at any time but will remain responsible for any financial commitments made up to that date. In the event of early termination by either party, previously acquired obligations (including outstanding payments) will remain in effect until fully met.

8. Modifications

Rooftop may update these Terms and Conditions at any time at its sole discretion. Changes will become effective upon publication on the Site, with the date of the latest revision indicated at the top of the document.
It is the Client’s responsibility to periodically review the Terms and Conditions to stay informed about any changes. Continued use of the Site or Rooftop’s services after such updates constitutes acceptance of the new Terms.

9. Governing Law and Jurisdiction

This agreement is governed by the laws in the jurisdiction where Rooftop is registered. Any disputes will be resolved by the competent courts of that jurisdiction.

10. Miscellaneous

These T&Cs, along with Rooftop’s Privacy Policy, constitute the entire agreement between the User and Rooftop regarding access to and use of the Site. Access to restricted areas and the hiring of specific services (such as Staffing or Direct Hiring) are subject to additional commercial agreements between the parties.
Rooftop does not conduct business with or seek commercial relationships with individuals or entities located in countries sanctioned by competent authorities (including the U.S., European Union, and other multilateral organizations), or with individuals or legal entities listed on restricted or sanctioned entity lists (“Restricted Counterparties”). By using this Site, the Client warrants that it is not, and is not acting on behalf of, a Restricted Counterparty.
The Client may not assign its rights or obligations under these T&Cs without Rooftop’s prior written consent.
These T&Cs may only be modified by Rooftop and in writing. Rooftop’s failure to enforce a right does not imply waiver of such right in the future. If any provision of these Terms and Conditions is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

Developer Terms and Conditions

From June 2025

Effective as of June 2025.

1. Introduction

These Terms and Conditions (“T&C”) govern the use of Rooftop’s website and platform by software developers, engineers, and other tech professionals (hereinafter, the “User” or “Developer”) who register on Rooftop to access job opportunities, share their professional profile, and receive support in the creation and improvement of their Deep Profile.
Accessing the site and using the services implies full acceptance of these T&C.

2. Registration and Access to the Platform

Using the services requires that the User:
Be over 18 years of age.Register by providing true, updated, and complete personal and professional information (e.g., name, email, phone, LinkedIn profile, work experience, technologies, etc.).Maintain the confidentiality of their login credentials.Rooftop may suspend accounts in case of misuse, false information, or violation of these terms.

3. Purpose and Scope of the Service

Rooftop offers the Developer a personalized support service to:
Create or improve their professional Deep Profile.Promote their profile to client companies seeking talent.Connect them with job opportunities aligned with their technical profile and expectations.

4. Processing of Personal Data

The Developer expressly authorizes Rooftop to:
Store, process, and enrich their personal and professional information.Share their Deep Profile with client companies seeking to hire talent.Use their data to suggest job openings, improve professional visibility, and optimize the matching service.Rooftop will never share your data for commercial purposes unrelated to employment or without your consent.

5. Confidentiality and Security

6. User Content and Rights

The information and content uploaded by the User (texts, links, documents, etc.) remain their property. By uploading them, the User grants Rooftop a non-exclusive, free, and revocable license to use them solely for the purposes of:
Generating their Deep Profile.Applying to jobs.Promoting the profile to interested companies.

7. Developer Obligations

The User agrees to:
Provide truthful, lawful, and up-to-date information.Not use the platform for purposes contrary to the law or these T&C.Not infringe the rights of third parties (e.g., including confidential information from other companies without permission).

8. Changes to the Terms

Rooftop may modify these T&C at any time. Updates will be published on the website and will be considered accepted if the User continues using the service.

9. Intellectual Property

Rooftop retains all rights over its brand, content, design, software, and processes. The User may not copy, distribute, or reuse parts of the site without express authorization.

10. Disclaimer

Rooftop does not guarantee that the Developer will obtain a job, nor that the opportunities offered will meet their expectations. Use of the site is at the User’s sole responsibility.
